Melissa Brown Hillesheim is the
founder and managing principal of MBH Legal. Melissa has extensive in house
corporate legal experience at one of the country’s largest diversified
industrial companies where she has counseled on a wide variety of general
business, commercial contracts, employment matters, complex litigation,
intellectual property, mergers and acquisitions, corporate compliance and
governance matters. She has a proven track record of forging successful
working relationships with executive management teams.
Ms. Hillesheim’s international
diversified industrial experience spans construction products, barge and
marine, highway safety, energy equipment manufacturing, concrete and
aggregate, and railcar.
Highlights:
· Managing litigation and commercial dockets;
· Setting legal reserves, and budgeting and forecasting legal expenses;
· Overseeing intellectual property portfolios;
· Legal reporting to Business Unit Executives, CEOs and Board of Directors;
· Developing legal training on legal issue awareness for executives and
managers;
· Coordinating legal public relations issues.
· Providing
legal support for operating units, including sales, marketing and
purchasing.
· Retaining
and managing outside counsel.
· Performing
legal due-diligence and preliminary assessment for license and acquisition
opportunities.
· Drafting,
reviewing and negotiating contracts and other legal documents including
information technology agreements, vendor contracts, purchase requisitions,
bid specifications and purchase orders.
